We took the plunge yesterday and upgraded our instance of PAESSLERs excellent PRTG monitoring system.
Customers using this solution will be relived to know that for us at least this upgrade went smoothly - all that was needed was to download the new 9.x installation file and install right over the top. After install - all of our remote probes restarted and updated without a hitch.
The only thing to watch out for with this update is that you may find that a number of your SNMP monitors will suddenly stop working - and report as down. There is something about this in the upgrade release notes and is covered on this posting:

After changing the ’Outgoing IP’ on the Probes Administrator - the SNMP sensors all came back up.
One thing to note that if you have a probe which is monitoring devices on multiple subnets, you may have to select ’Auto’ for the outgoing IP to get all subnets working!
We’re confident to advise customers that use this solution that it’s safe to upgrade!
